1. Company Information

2. Scope of Services
Pleron Labs provides custom software development, web and mobile application development, cloud infrastructure services, white-label development for agencies, and resource augmentation (team extension) services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work (SoW) or service agreement signed between both parties.
3. Intellectual Property
Unless otherwise agreed in writing, upon full payment of all fees, the client receives full ownership of the custom deliverables produced under the project. Pleron Labs retains ownership of its pre-existing frameworks, libraries, tools, and methodologies. Open-source components used in projects remain governed by their respective licenses.

4. Payment Terms
Payment terms are specified in each individual service agreement. Generally, projects are structured with an upfront deposit (typically 30–50%) with the remaining balance due at agreed milestones or project completion. Invoices are payable within 30 days of issue unless otherwise stated. Late payments may incur interest charges in accordance with Italian law.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary information, business processes, and technical details shared during the engagement. This obligation survives the termination of the service agreement. For white-label engagements, Pleron Labs operates with complete discretion and does not disclose its involvement to end clients without prior written consent.
6. Data Protection & GDPR
Pleron Labs is committed to full compliance with the European Union General Data Protection Regulation (GDPR) and the applicable Italian privacy legislation (D.Lgs. 196/2003 as amended). Any personal data shared with us in the course of our business relationship is processed solely for the purposes of service delivery and is never sold or shared with third parties without explicit consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Pleron Labs shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services. Our total liability to any client for any claims arising under or in connection with a service agreement shall not exceed the total fees paid by the client in the three months preceding the claim.
8. Warranties
Pleron Labs warrants that all services will be performed with reasonable skill and care, in accordance with professional software development standards. We provide a post-delivery support window as specified in the individual service agreement, during which we will correct any defects that are directly attributable to our work at no additional cost.
9. Termination
Either party may terminate a service agreement with written notice as specified in that agreement. Upon termination, the client shall pay for all work completed up to the termination date. Pleron Labs will deliver all completed work products and materials upon receipt of outstanding payments.
10. Governing Law & Jurisdiction
These Terms and Conditions and any disputes arising from them shall be governed by the laws of Italy. The courts of Bologna shall have exclusive jurisdiction over any disputes arising from or in connection with these terms or any related service agreement.
11. Changes to These Terms
Pleron Labs reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
